Terms and Conditions  

These Terms and Conditions ("Terms") govern access to and use of the website at [store URL] (the "Site"), operated by [Registered Business Name] trading as PrimePilot ("PrimePilot", "we", "us", "our"), and the purchase of any digital product made available for sale on the Site ("Digital Products"). By accessing the Site, creating an account, or placing an order, you ("the Customer", "you") agree to be bound by these Terms. If you do not agree, please do not use the Site. 

1.1 Who We Are 

You can contact us at support@primepilot.co.za. Full disclosure details required under section 43 of the Electronic Communications and Transactions Act 25 of 2002 ("ECT Act") are set out in the Legal Notice section of this document. 

1.2 The Nature of Our Products 

All products sold on the Site are digital downloads, electronic files such as PDF guides, Word documents, templates, and related digital course materials ("Digital Products"). No physical goods are shipped. When you purchase a Digital Product, you are purchasing a limited, non-exclusive licence to use that Digital Product for your own personal or internal business purposes, as set out in clause 1.6 below, you are not purchasing ownership of the underlying content, and title to the copyright and all other intellectual property in the Digital Product remains with PrimePilot at all times. 

1.3 Accounts 

  • You may need to create a customer account through the Site's Shopify-hosted checkout to complete a purchase or to access your digital download library. 

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. 

  • You must provide accurate, current information when creating an account or placing an order, and must promptly update it if it changes. 

1.4 Orders, Pricing and Payment 

  • All prices displayed on the Site are in South African Rand (ZAR) and are inclusive of VAT where PrimePilot is a registered VAT vendor, unless stated otherwise at checkout. 

  • Before finalising your order, the Site's checkout process will give you an opportunity to review your order, correct any input errors, and withdraw from the transaction before payment is submitted, in line with section 43(2) of the ECT Act. 

  • Payment is processed securely through Payfast, in line with the security standard required by section 43(5) of the ECT Act. PrimePilot does not itself store your full payment card details; these are handled directly by the payment processor. 

  • We reserve the right to correct any pricing error displayed on the Site (whether due to a technical fault or human error) and to cancel and refund any order placed at an incorrect price, before or after payment, notifying you promptly if this occurs. 

  • An order is only accepted, and a binding contract formed, once you receive an order confirmation email from us, a payment receipt alone does not necessarily constitute acceptance if we identify a pricing or availability error first. 

1.5 Delivery of Digital Products 

  • Digital Products are delivered electronically, either as an immediate download link presented after successful payment, a link sent to your email address, or access granted to a digital library within your customer account. 

  • In line with section 46 of the ECT Act, we will make Digital Products available to you without undue delay and, in any event, well within the 30-day statutory performance period, except where a delay is caused by circumstances outside our reasonable control. 

  • You are responsible for ensuring you have suitable software, a stable internet connection, and sufficient device storage to download and open the files. PrimePilot is not responsible for a failed download caused by the Customer's own device, software, or connectivity issues, though we will assist in good faith with re-delivery, see our Refund and Return Policy for how to request this. 

1.6 Licence and Permitted Use 

Subject to full payment, PrimePilot grants you a limited, non-exclusive, non-transferable, non-sub-licensable licence to download and use each purchased Digital Product for your own personal use, or for internal use within your own business if you purchased under a business account, subject to the following restrictions. You may not: 

  • Resell, redistribute, sublicense, rent, lease, or share the Digital Product, in whole or in part, with any third party who has not independently purchased it; 

  • Publish, upload, or make the Digital Product (or substantial extracts of it) available on any public website, file-sharing service, or social media platform; 

  • Modify, adapt, translate, or create derivative works from the Digital Product and present them as your own original work ("white-labelling" or rebranding is not permitted without PrimePilot's prior written consent); 

  • Use the Digital Product, or any templates or scripts contained within it, to build a directly competing digital product or course for resale. 

 Licence breaches may result in access being revoked: PrimePilot reserves the right to revoke access to a Digital Product and pursue available legal remedies, including for copyright infringement, where a Customer materially breaches this licence. This does not affect your statutory consumer rights. 

1.7 Intellectual Property 

All content on the Site and within every Digital Product, including text, structure, templates, scripts, graphics, and the PrimePilot name and logo, is the intellectual property of PrimePilot and is protected under South African copyright and trade mark law. Nothing in these Terms transfers any intellectual property rights to the Customer beyond the limited licence described in clause 1.6. 

1.8 No Professional Advice 

PrimePilot's Digital Products are educational in nature. They do not constitute legal, tax, financial, or other professional advice, and PrimePilot is not a law firm, accounting practice, or financial advisory business. Each Digital Product contains its own detailed disclaimers, which form part of these Terms by reference. The Customer remains responsible for obtaining independent professional advice before relying on any Digital Product's content in their own business. 

1.9 Disclaimer of Warranties 

Digital Products are provided "as is" and "as available". While PrimePilot takes reasonable care to ensure content is accurate and files are functional at the time of publishing, we do not warrant that any Digital Product will be error-free, that it will remain accurate indefinitely (particularly where it references third-party platforms, regulations, or pricing that may change after publication), or that the Site will be uninterrupted or fault-free. Nothing in this clause excludes any warranty or right that cannot lawfully be excluded under the Consumer Protection Act 68 of 2008. 

1.10 Limitation of Liability 

To the maximum extent permitted by South African law, PrimePilot's total liability to you arising out of or in connection with these Terms or any Digital Product, whether in contract, delict, or otherwise, is limited to the amount you actually paid for the relevant Digital Product. PrimePilot will not be liable for any indirect, special, or consequential loss, including loss of profit, loss of business opportunity, or loss of data, arising from your use of a Digital Product. Nothing in this clause limits liability that cannot lawfully be excluded under the Consumer Protection Act 68 of 2008, including liability for harm caused by supplying unsafe goods, a product failure, or defect. 

1.11 Indemnity 

You agree to indemnify and hold PrimePilot harmless against any claim, loss, or liability arising from your breach of these Terms, your misuse of a Digital Product, or your violation of any applicable law in connection with your use of the Site. 

1.12 Third-Party Services 

The Site is hosted on the Shopify platform and may rely on other third-party services for payment processing, email delivery, and analytics (see the Privacy Policy for details). PrimePilot is not responsible for the availability, performance, or policies of these third-party services, which are governed by their own separate terms. 

1.13 Force Majeure 

PrimePilot will not be liable for any delay or failure to perform its obligations under these Terms where this is caused by circumstances beyond its reasonable control, including load shedding, internet or telecommunications outages, or failure of a third-party platform such as Shopify or a payment gateway. 

1.14 Amendments 

We may update these Terms from time to time to reflect changes in our business, our products, or the law. The "Last updated" date at the top of this page will change accordingly. Continued use of the Site after an update constitutes acceptance of the revised Terms. Material changes affecting active licences will, where reasonably practicable, be notified to affected Customers by email. 

1.15 Governing Law and Jurisdiction 

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from these Terms or your use of the Site is subject to the non-exclusive jurisdiction of the South African courts. 

1.16 Complaints and Dispute Resolution 

If you have a complaint, please contact us first at [Support Email] so we can try to resolve it directly. If you are not satisfied with our response, you may refer certain consumer-related complaints to the Consumer Goods and Services Ombud (www.cgso.org.za) or, for data protection matters, to the Information Regulator (see the Privacy Policy for contact details). 

1.17 Severability 

If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.
